Approved by the Tianjin municipal government, the Tianjin Property Rights Transaction Centre was established on April 28, 1994.

The centre is a comprehensive, standardized, multi-functional institution for transactions involving assets and equity.

It was also selected as the trial assets and equity transaction exchange for State-owned enterprises by the State-Owned Assets Supervision and Administration Commission (SASAC).

Under administration and supervision of the SASAC and the Tianjin finance bureau, it provides integrated services for assets and equity transactions which can involve international and inter-regional agreements as well as across different sectors and ownership groups.

Its main business scope includes the following:

Transactions of assets and equity in accordance with relevant laws, regulations, and policies of the State;

Debt-to-equity swap;

Stock custody involving enterprise assets;

Trading of enterprises' assets;

Transfer of operational rights and invisible assets of enterprises;

Matching investors with enterprises;

Assisting clients to conduct assets adjustment, mergers & acquisitions, management buyout and bankruptcy proceedings;

Organizing activities to attract overseas investment;

Training and management of equity transaction agents.

The centre has well-organized departments including Equity Transactions, Stock Custody, Technology Stock Transfer, Assets Restructuring, Investment Banking, Research and Development, Information, Transaction Appraisals, Market Management, Finance, Appraisals and the Central Office.

Over the past 10 years, the centre has strictly implemented the regulations and policies of the SASAC and the Tianjin municipal government, such as Temporary Methods for the Management of the Transfer of the Assets and Equity of State-Owned Assets, Temporary Methods for the Assets and Equity Transactions of Tianjin, Notice of the Management of the Assets and Equity Transactions of Tianjin, and Temporary Provisions for the Assets and Equity Transactions.

To regulate equity transactions and protect lawful rights and benefits for the parties involved with such transactions, it stipulates relevant regulations and standardized processes for registration, listing, agreement-signing, settlement and appraisal.

It has also drawn up five consistent texts, including the Application of the Transaction of Equity; the Agreement of the Agent of Equity Transactions; the Contract of Equity Transactions and the Note for the Settlement of Equity Transactions, and the Appraisal of Equity Transactions.

The Tianjin Property Rights Transaction Centre has different markets, including main equity exchange, stock custody, technology stock, and asset transfer sectors and a branch market in Binhai area and six branches at the district level in the city.

It can also provide comprehensive services including rights of assets, stocks, debts and intellectual property rights.

It has also further established express foreign-investment channels in a bid to offer efficient and effective services.

The centre has 90 consulting, auditing, assessment, auction, appraisal, legal, notarial affairs and arbitration institutions and 1,200 agents.

It has 41 agent institutions to provide optimized business solutions for clients.

As well, the relevant bureaus in the city including municipal commercial and industrial affairs, real estate, land and resources, finance and supervision bureaus jointly provide services for clients as well as conducting supervision for the centre.

At present, the total area of the centre is 120,000 square metres, with a well-developed computer network system.

The Integrated Northern Equity Transaction Exchange Union was founded and headquartered in Tianjin.

It has 43 membership exchanges in 16 provinces, municipalities and autonomous regions and the union has realized cross-regional information-sharing and a simultaneous listing.
